docusrch Terms of Use

Our mission at Synergise AI, LLC, a Florida limited liability company, ("Synergise AI," "we," "our" or "us") is to provide document analysis services through our Retrieval-Augmented Generation (RAG) application for authorized users ("User" or "you") using our software platform and proprietary technology, including all versions of www.docusrch.com and the docusrch software (the "Service").

Unless you have a separate written agreement with us, when you access and use the Services, you agree to the following Terms of Use ("Terms"). These Terms outline your rights, obligations, and restrictions regarding your use of the Service, so please read them carefully. If you do not agree to be bound by the Terms or have another written agreement in place with us, you should discontinue use of the Service immediately. Synergise AI may modify the Terms from time to time and each modification will be effective when it is posted on the Service. We will use commercially reasonable efforts to notify you of any changes to the Terms, and you agree to be bound to any changes to the Terms through your continued use of the Service.

In addition to these Terms, we have adopted a Privacy Notice. We encourage you to read these Terms of Use and our Privacy Notice carefully. Our Privacy Notice contains information relating to our collection, use, and disclosure of your personal information.

1. Our Services

Synergise AI will provide the Service to each User, as applicable, on a monthly or annual subscription basis, depending on the type of account selected. Subscriptions shall automatically renew for successive monthly or annual renewal periods until terminated by either Synergise or the User in accordance with these Terms, subject to the payment of applicable fees and compliance with these Terms.

2. Registration

Certain features of the Service may provide you with the opportunity to register by creating a user account in order to enable certain features or receive certain information. You must be at least 18 years of age to register. By registering to use the Service, you represent that you are of the minimum registration age or older, and if you are under the age of majority in your country, state or territory, you represent that you either are an emancipated minor or you have obtained the legal consent of your parent or legal guardian to enter into these Terms, use the Service, submit material, and fulfill the obligations stated in these Terms, which form a binding contract between you and Synergise AI. You authorize Synergise AI to collect, use, share and store the information you provide upon registration and thereafter in accordance with Synergise AI's Privacy Notice.

By registering, you represent and warrant that all information that you choose to provide is accurate. You agree to update such information as necessary. If the registration process requires you to create and use log-in credentials such as an email address or username along with a password, you acknowledge and agree that Synergise AI may rely on the subsequent use of your log-in credentials to provide access to your account and the information you have provided. You are responsible for all use of your account, regardless of whether you authorized such access or use, and for ensuring that all use of your account complies fully with these Terms. You must immediately notify Synergise AI if you discover or suspect that someone has accessed your account without your permission.

3. Ownership; Limited License

a. Ownership

The Services are owned and operated by Synergise AI, but the Service may include elements licensed from or provided by third parties. Synergise AI (along with its third-party licensors) retains all right, title and interest in and to the Service, including all intellectual property rights in them. The Service contain content (including, without limitation, data, text, software, images, video, and graphics) which is protected by United States and worldwide copyright, trademark, trade secret, patent and other intellectual property laws, and with the exception of content in the public domain, the rights to the content of the Service under such laws are owned or controlled by Synergise AI or licensed from third parties.

b. License

Subject to all of the the terms and conditions of these Terms of Use and timely payment of the fees by you, Synergise AI grants you, a non-exclusive, limited, non-transferable license to allow you to access and use the Service, without the right to sublicense. Synergise AI reserves the right to make, in its sole discretion, any material or non-material changes and/or updates to the functionality of the Service from time to time without your prior approval. Synergise AI will notify you of material changes via email or via notification in the Service.

c. Restrictions

You agree to use the Services for lawful purposes only. You agree not to post or transmit through the Services any material which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, gives rise to civil liability or otherwise violates any applicable laws, rules, or regulations, whether federal, state, local, foreign or international. You shall not use the Licensed Software or a component thereof in a manner not authorized by Synergise AI.

You agree not to:

1. Copy the Service;
2. Modify, translate, or otherwise create derivative works of the Service;
3. Disassemble, decompile or reverse engineer the object code or source code of the Service,
4. Publish, or otherwise make available to any third party any benchmark testing information or results;
5. Export or re-export the Service in violation of any local or international law or regulation;
6. Upload, transmit, or distribute any virus, or other items of a destructive or deceptive nature to or through the Service or use the Service for any unlawful, invasive, infringing, defamatory or fraudulent purpose;
7. Retrieve information used to develop and train the Service;
8. To direct the use of the Service, including the large language model, for any purpose except as permitted in these Terms or in a separate agreement with Synergise AI;
9. Remove or in any manner circumvent any technical or other protective measures in the Service;
10. Access or attempt to gain access to confidential information to which you are not entitled, including but not limited to another user's account or any non-public portions of the Service such as the computer systems or networks connected to or used together with the Service; or
11. Access, search, or collect data from or permit any other actions with the Service by any means (automated or otherwise) except as permitted in these Terms or in a separate agreement with Synergise AI.

You are solely responsible for obtaining and maintaining all devices, wired or wireless communications means, telephone, computer software, computer hardware and other equipment needed for access and use of the Services and all charges related thereto.

4. Your Ownership; Rights You Grant Synergise AI

a. Your Content Ownership

Synergise AI acknowledges and agrees that you remain at all times the sole owner of (or where applicable, must ensure it has a valid license to) the information input by you into the Service ("Your Content"). You are solely responsible and liable for Your Content, and, therefore, you agree to indemnify, defend, release, and hold us harmless from any claims made in connection with Your Content.

b. License Grant to Synergise AI

You grant Synergise AI, a non-exclusive, worldwide, royalty-free, transferable, and sublicensable right and license to use, copy, store, modify, adapt, prepare derivative works of, distribute, transmit and display Your Content to the extent necessary to provide the Service under these Terms.

5. Warranties

a. By Both Parties

You and Synergise AI represent and warrant to each other that they have the authority to enter into these binding Terms.

b. By You

You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability and copyright of all Your Content. You represent and warrant that the provided Your Content shall not (i) infringe any intellectual property rights of third parties; (ii) misappropriate any trade secret; (iii) be deceptive, defamatory, obscene, pornographic or unlawful; (iv) contain any viruses, whether or not intended to damage the Service; or (v) otherwise violate the rights of a third party.

6. Disclaimer

SYNERGISE AI PROVIDES OUR SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO OUR SERVICES (INCLUDING ALL CONTENT CONTAINED THEREIN), INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

7. Limitation of Liability

To the extent permitted by applicable law, you expressly understand and agree that Synergise AI, and its affiliates, employees, licensors, or services providers will not be liable for any direct, indirect, incidental, special, punitive, consequential or exemplary loss, liability, damage or expense, including but not limited to, loss of profits, loss of use, loss of data or other losses.

8. Fees and Subscriptions

If you purchase a subscription, it will automatically renew until you cancel. You agree to pay the prices displayed to you for the Services you've selected. All purchases are final and nonrefundable, except if the laws applicable in your jurisdiction provide for refunds.

9. Governing Law and Jurisdiction

All matters relating to the Services and the Terms shall be governed by and construed in accordance with the internal laws of the State of Florida. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida.
